On Tuesday, June 10, 2025, Legislative Decree No. 322, issued by the Legislative Assembly, was published in Official Gazette No. 107, Volume 447. Said decree introduces a reform to Articles 100 and 101 of the Municipal Code, by which the requirement to submit the municipal solvency certificate of shareholders for the registration of deeds of incorporation of companies with the Commercial Registry is eliminated.
This reform aims to simplify the registration process for corporate formation documents. However, the requirement to present a municipal solvency certificate remains in force for other procedures, such as amendments, transformations, mergers, or liquidations of companies, and allows for the issuance of such certificates through electronic means.
The measure has been in effect since June 18, 2025.
